Terms of Service

Welcome to IndieHelm. By accessing or using the IndieHelm mobile application or the website at indiehelm.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use IndieHelm. If you are under 18 (or the age of majority where you live), you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to these Terms. By viewing content marked as mature, or by making a purchase, you represent that you are of the age of majority in your jurisdiction. You are responsible for the accuracy of that representation; IndieHelm does not independently verify age. By using the Service, you represent that you meet these requirements.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@indiehelm.com if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. User Content and License

You retain ownership of the films, audio, images, and other content you upload ("User Content"). By uploading User Content, you grant IndieHelm a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transcode, reproduce, display, stream, and distribute your content within and in connection with the Service — including via the public web player at indiehelm.com/f/<id> and in promotional materials for the Service — for the purpose of operating, providing, and improving the Service. This license ends when you delete your User Content or account, except for content others have purchased or where retention is required by law, and except for reasonable backup copies.

You represent and warrant that: (a) you own or have all rights necessary to upload and license your User Content; (b) your User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights; and (c) you have obtained all necessary consents and releases from individuals appearing in or contributing to your films, including any required music or footage licenses.

4. Content Rules

You agree not to upload, post, or transmit content that:

Content intended for mature audiences must be accurately marked as mature so it can be filtered from viewers who have not opted in. We may remove content that violates these Terms and suspend or terminate repeat or serious offenders, and we may cooperate with law enforcement where appropriate.

These rules are expanded on in our Community Guidelines, which form part of these Terms and which you also agree to by using the Service.

Zero tolerance. There is no tolerance for objectionable content or abusive behavior on IndieHelm. Every film, comment, profile, and live-chat message can be reported from inside the app, and you can block any user so their content and messages no longer reach you. We review every report and act on objectionable content — including removing it and suspending or permanently banning the account responsible — within 24 hours of the report. By posting content or using the Service, you agree to these rules; violating them may result in immediate removal of your content and termination of your account. To report something, use the report control in the app or email support@indiehelm.com.

5. Creator Earnings and Monetization

Creators may earn money through the Service in several ways: tips, pay-per-view unlocks (a one-time price to watch a film), monthly supporter subscriptions, and premiere tickets. As a creator, you set your prices within the options the Service makes available and are responsible for the taxes on your earnings.

IndieHelm (and the applicable app stores and payment processors) may retain a fee or commission on transactions. Applicable fees are reflected before you or your supporters complete a transaction. Payouts are made through our payment processors and may be subject to minimum thresholds, identity verification, and holding periods to prevent fraud and handle chargebacks. You must provide accurate payout and tax information when required, and you may be asked to complete tax forms (such as a W-9 or W-8BEN) before we can pay you.

Where payouts are available. Withdrawals currently require a bank account in the United States, because our payout processor supports connected accounts only in certain countries. You can create an account, publish films, and earn from anywhere the app is available — your balance accrues and is held for you — but you will not be able to withdraw it until we support payouts in your country. We are working to add more countries and additional payout methods. If you are unsure whether you can be paid, check the Payouts screen in the app before you rely on earnings.

6. Purchases, Subscriptions, and Refunds

Purchases made in the mobile apps — including pay-per-view unlocks, premiere tickets, tips, and subscriptions — are processed as in-app purchases through the Apple App Store or Google Play, and are subject to those stores' terms in addition to these Terms. Some payments may be processed through Stripe.

7. Premiere Screenings

Creators may host live premiere screenings — free or ticketed — where the audience watches a synced screening together with live chat. The hosting creator controls the screening, including when the room opens and closes. Access is limited to the scheduled showtime and any post-screening period until the host ends the room. We do not guarantee that any premiere will occur as scheduled or be free of technical issues.

8. Advertising

The Service may display advertising, including short video ads before certain films or premieres and sponsored content in the feed. You will not see pre-roll ads on films you own or have purchased. You agree not to interfere with the display of advertising. Advertisers are responsible for their own content, and your dealings with advertisers are solely between you and them.

9. Intellectual Property

The IndieHelm name, logo, and the design and software of the Service are owned by IndieHelm and protected by intellectual property laws. You may not use our trademarks or branding without prior written consent. All rights not expressly granted in these Terms are reserved.

10. DMCA / Copyright Takedowns

IndieHelm respects intellectual property rights and responds to notices of alleged copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512).

10.2 Filing a Takedown Notice

To be effective, your notice must include: (a) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to let us locate it, such as the film URL; (d) your contact information, including address, telephone number, and email address; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

Please note that under 17 U.S.C. § 512(f), a person who knowingly materially misrepresents that material is infringing may be liable for damages, including costs and attorneys' fees.

10.3 Counter-Notification

If your content was removed and you believe the removal was a mistake or a misidentification, you may send a counter-notification to the agent above containing: (a) your physical or electronic signature; (b) identification of the material that was removed and the location where it appeared before removal; (c) a statement, made under penalty of perjury, that you have a good-faith belief the material was removed as a result of mistake or misidentification; and (d) your name, address, and telephone number, together with a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if your address is outside the United States, any judicial district in which IndieHelm may be found), and that you will accept service of process from the person who filed the original notice or their agent.

If we receive a valid counter-notification, we will forward it to the original complainant and may restore the removed material in 10 to 14 business days, unless the complainant first notifies us that they have filed an action seeking a court order to restrain the allegedly infringing activity.

10.4 Repeat Infringers

We maintain and reasonably implement a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers. A user who is the subject of three separate valid takedown notices that are not successfully counter-notified will have their account permanently terminated, and we may terminate an account sooner where the infringement is severe or plainly willful. We also reserve the right to remove content and terminate accounts at any time for any infringing activity.

11. App Stores and Third-Party Services

The Service relies on third-party providers (including Apple, Google, Stripe, RevenueCat, Supabase, Mux, and others), each governed by its own terms. If you download the app from the Apple App Store, you acknowledge that these Terms are between you and IndieHelm, not Apple; that Apple has no obligation to provide support or maintenance for the app; and that Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Similar terms apply to Google Play. Your use of the apps must also comply with the applicable app store's usage rules.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or its users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INDIEHELM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT OR PREMIERE WILL BE AVAILABLE AT ANY GIVEN TIME.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDIEHELM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO INDIEHELM IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100.

15. Indemnification

You agree to indemnify and hold harmless IndieHelm and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. Except where prohibited, you agree that disputes will be resolved exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction. Nothing in these Terms limits any rights you may have under mandatory consumer-protection laws in your place of residence.

17. Changes to These Terms

We may modify these Terms from time to time. We will update the "Last updated" date and, for material changes, provide additional notice where appropriate. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
