Terms of Service

Welcome to IndieHelm. By accessing or using our mobile application or website (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 13 years old to use IndieHelm. By using the Service, you represent that you meet this requirement. If you are under 18, you must have your parent or legal guardian's permission to use the Service.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@indiehelm.com if you suspect any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.

3. User Content

You retain ownership of any films, audio, images, and other content you upload to IndieHelm ("User Content"). By uploading User Content, you grant IndieHelm a worldwide, non-exclusive, royalty-free license to host, store, transcode, display, and distribute your content within the Service (including via the public web player at indiehelm.com/f/<id>) for the purpose of operating and improving the Service.

You represent and warrant that:

• You own or have the necessary rights to upload and license your User Content.
• Your User Content does not infringe any third party's intellectual property, privacy, or other rights.
• You have obtained all necessary consents from individuals who appear in your films.

4. Prohibited Content

You agree not to upload, post, or transmit content that:

• Is pornographic, sexually explicit, or depicts minors in a sexual context.
• Depicts graphic violence intended to glorify or promote real-world harm.
• Constitutes harassment, hate speech, or targeted threats against individuals or groups.
• Infringes the copyright or trademark of any third party.
• Contains malware, phishing links, or other malicious code.
• Violates any applicable local, national, or international law.

We reserve the right to remove content that violates these Terms and to suspend or terminate accounts of repeat offenders.

5. Premiere Screenings and Tickets

Filmmakers may host live premiere screenings and sell tickets through the Service. By purchasing a ticket, you agree to the following:

• Ticket purchases are final. Refunds are at the discretion of the filmmaker and IndieHelm.
• IndieHelm processes payments through Stripe and is subject to Stripe's Terms of Service.
• IndieHelm may charge a platform fee on ticket sales and tips, which will be disclosed to you before completing a transaction.
• Screening access is time-limited. A 15-minute grace period is provided after a scheduled showtime ends before the room closes.

6. Tips

Viewers may send monetary tips to filmmakers through the Service. Tips are voluntary payments and are non-refundable once sent. IndieHelm facilitates tip payments through Stripe and may retain a small platform fee, disclosed at the time of the transaction.

7. Intellectual Property

The IndieHelm name, logo, and Service design are the intellectual property of IndieHelm. You may not use our trademarks or branding without prior written consent. All rights not expressly granted in these Terms are reserved.

8. DMCA / Copyright Takedowns

If you believe your copyrighted work has been uploaded to IndieHelm without your permission, please send a DMCA takedown notice to legal@indiehelm.com with:

• Identification of the copyrighted work claimed to be infringed.
• Identification of the infringing material and its location on our Service.
• Your contact information.
• A statement that you have a good-faith belief that the use is unauthorized.
• A statement, under penalty of perjury, that the information in the notice is accurate.
• Your physical or electronic signature.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INDIEHELM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDIEHELM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Florida.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, where appropriate, notifying you via the app. Continued use of the Service after changes constitutes your acceptance of the revised Terms.
